An Overview:
Our client is comprised of a Mauritius holding company with active subsidiaries in RSA, Mozambique, the DRC, Lesotho, Namibia, Seychelles, Zimbabwe and Zambia. The multi-national nature of the Business adds a particular complexity regarding cash management, taxation and legal and governance compliance and as a services company with monthly billings, excellent working capital management is always critical.
The incumbent will be a Board member of the holding company and subsidiaries.

Key Responsibility Areas:
? Strategy operationalisation including supporting the CEO in strategic execution (developing, executing
and measuring strategy implementation)
? Group financial reporting
? Preparation and review of individual annual financial statements (AFS), country consolidations and the Group consolidation
? Complex technical accounting (various IFRS and IAS interpretations)
? Budgeting and forecasting management based on agreed parameters
? Mergers and acquisitions and new business commercials
? Corporate governance and control frameworks (SOP’s, LOA, system controls)
? Insurance and captive arrangements
? Complete working capital management (debtors, creditors, capex, ad hoc)
? Group treasury, funding and transactional banking
? Exchange control and transfer pricing
? Financial control systems management
? Statutory and secretarial compliance
? Legislative compliance (country-specific frameworks e.g. OHADA, local charts of accounts)
? Group IT (ERP, hardware, networks, systems and development)
? Group direct and indirect taxation management (including working knowledge of country by country tax legislation and ensuring compliance)
? Group assurance (internal/external auditing)
? Commercial licencing
? Financial risk register maintenance with mitigating controls
? People management (managing, leading and developing a strong finance team of professionals)
? Investor reporting in accordance with PE requirements and compliance with investor regulations (FCPA, UKBA, AML, etc.)
? JV partner and minority shareholder management
? Preparation of all board and sub-committee packs.

Qualifications / Specific Experience:
? CA(SA) with significant post qualifying experience in senior financial management roles and CFO / Financial Director experience
? International taxation, financial structuring and mergers and acquisitions
? Group integrated financial reporting using multiple currencies
? Treasury management and debt/capital raising
? Board and related committee exposure and interaction
? Exchange controls and interaction with the SARB
? Demonstrated leadership and staff management capabilities
? Complex financial business dealing with multiple countries and multiple currencies.

Specific Proficiencies:
? Proactive budget forecasting
? Must be well versed with cross border Forex
? Demonstrated competence in the implementation of financial systems especially related to working capital and managing cross border taxation
? Skilled and knowledgeable on leveraging technology to augment the financial management function
? Knowledgeable regarding the content and structure of Annual Integrated and Interim reports

Current up to date knowledge of:
? IFRS and IIRC initiatives
? Companies Act and related SA Legislation
? VAT and Income Tax Acts
? Transfer Pricing/BEPS
? South African Foreign Exchange Regulations / SARB
? King IV
? Systems / IT capability including advanced Excel and SAP Business 1 and practical exposure to costing and stock management packages.
